Terms of Service
1. Parties
This Master Services Agreement ("Agreement") is between Patten Labs, Inc. ("Patten", "we") and the title officer organization that signs up ("Customer").
2. Services
Patten provides a digital title plant: address/APN lookups returning chain-of-title, lien data, easement extraction, and a PDF export. Patten is NOT a licensed title insurance underwriter. Customer is responsible for underwriter review before binding any title insurance policy based on Patten output.
3. Fees
Customer selects either pay-per-lookup ($0.50/completed lookup) or flat-rate ($999/mo for 5,000 bundled lookups, $0.10/lookup thereafter). Patten invoices monthly, net-30, via Stripe. Disputed line items must be raised within 14 days of invoice.
4. Data + accuracy
Patten sources county clerk records, state UCC records, and federal lien notices. Patten makes commercially reasonable efforts at accuracy but provides Services AS IS. Customer assumes the risk of any data errors and shall not rely solely on Patten output for binding underwriting decisions.
5. Confidentiality
Each party will protect the other's Confidential Information with at least the same care it uses for its own. Aggregated, anonymized usage data may be used by Patten for product improvement.
6. Term + termination
Month-to-month. Either party may terminate on 30 days' notice. No annual commits. Customer may cancel any month with no penalty.
7. Limitation of liability
EXCEPT FOR BREACHES OF CONFIDENTIALITY, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. PATTEN'S TOTAL LIABILITY IS CAPPED AT FEES PAID BY CUSTOMER IN THE TWELVE MONTHS PRECEDING THE CLAIM.
8. Indemnity
Customer indemnifies Patten against third-party claims arising from Customer's misuse of Patten output (including reliance without underwriter review for binding). Patten indemnifies Customer against IP claims arising from Patten's software.
9. Governing law
Texas. Disputes resolved in Dallas County courts.
